Stag Hunt
Terms of Service
Stag Hunt is a private, invite-only group where members share and discuss early-stage startup deals. It is run by its founder ("we", "us"). By signing in, you agree to these terms. If you don't agree, please don't use the site.
What Stag Hunt is, and isn't
- A discussion group, not a financial firm. Stag Hunt is not a fund, broker-dealer, funding portal, investment adviser or exchange.
- No compensation from deals. We take no fees, commissions, carried interest or any other payment tied to any deal or investment.
- No pooled money. We never hold, collect, move or manage money or securities. Every investment is made directly between you and the company, under that company's own documents.
- No one invests for anyone else. Stag Hunt does not form or run SPVs, funds or syndicates, and members may not use it to collect money from other members or invest on anyone else's behalf.
- Not an offer. Nothing on Stag Hunt is an offer to sell, or a solicitation of an offer to buy, any security. Deals are shared privately among members for discussion only.
- Not investment advice. Scores, comments, pledges and anything else members post are personal opinions. They are not recommendations. Do your own research and talk to your own advisers.
Investing is your decision and your risk
Startup investments are risky and illiquid, and most fail. Only invest money you can afford to lose entirely. You are responsible for deciding whether to invest and for your own due diligence.
Check that you're eligible before you invest. Most private rounds are open only to accredited investors: generally, people with $200,000 in yearly income ($300,000 with a spouse or partner), $1 million in net worth not counting their home, or a Series 7, 65 or 82 license. Each company decides who may invest and checks it under its own documents. Stag Hunt does not verify anyone's eligibility. Members who aren't eligible for a round can still bring deals and score them.
Conditional pledges ("The hunt") are a way for members to signal and coordinate interest with each other. A pledge is a promise you make to the other members. It is not a legal contract with us or with anyone else, and not an agreement to buy any security. Any actual investment happens only when you sign the company's own documents. Keeping your pledges is a matter of trust, and it shows on your profile.
Membership
- You must be at least 18 and invited or approved by an admin. Members join in cohorts.
- Keep your sign-in methods to yourself. You're responsible for activity on your account.
- Some people may be observers, who can read but not post. Observers are listed on the Members page.
- Admins may remove any member at any time, for any reason. Deals, scores and messages you posted may stay in the group's record after you leave.
House rules
- Confidentiality. What's shared in Stag Hunt stays in Stag Hunt. Don't share deals, materials, members' identities or discussions outside the group without permission.
- Disclose your interest. Say if you work at, advise, have invested in, or would benefit from any company you post or discuss.
- Be accurate. Don't post anything false or misleading. Say clearly what you know firsthand and what you heard.
- No selling. Don't use Stag Hunt to raise money for yourself, charge members, or promote paid services without an admin's approval.
- Get the founder's OK first. Only post a deal if the founder has agreed to share it with the group. Only share materials you're allowed to share, and treat founders' information with care.
- Clean deals only. Don't post companies that make money from gambling or betting, pornography or other adult content, or cheating or deceiving people (for example, tools for cheating on schoolwork or in relationships, fake reviews, or scams). Admins remove any deal that breaks this rule.
- Record only with consent. If you record a founder call, tell the founder first and get their agreement. Recording someone without consent is illegal in many states. You're responsible for checking every answer drafted from a recording before you post it.
- No compensation from companies. No member, including the organizer, may accept money, equity, advisory shares, warrants, a discounted allocation or anything else of value from a company for bringing its deal to the group or for members' investments. Investing on the same terms as other investors is fine.
- Your employer's rules come first. You're responsible for following your employer's confidentiality, conflict-of-interest and outside-investment policies. Don't share anything you aren't free to share.
- No public-company tips. Never share material nonpublic information about any public company.
- No harassment, spam, or illegal content.
Your content
You keep ownership of what you post. You give Stag Hunt permission to store it and show it to members so the group can work. You're responsible for having the right to share it. We can remove content that breaks these terms.
No warranties
Stag Hunt is provided as is, without warranties of any kind. We don't check or guarantee the accuracy of anything members post, including deal terms, metrics and outcomes. The site may change, have errors, or be unavailable.
Limitation of liability
To the fullest extent the law allows, Stag Hunt and the people who run it are not liable for any investment losses, or for any indirect, incidental or consequential damages, arising from your use of the site or from anything posted on it. You agree to hold us harmless from claims arising from your content or your breach of these terms.
Changes
We may update these terms. If the changes are significant, we'll tell members by email or in the app. Continuing to use Stag Hunt after an update means you accept it.
